Develia finalizes acquisition of Bouygues Immobilier Polska

Polish-listed real estate developer Develia has finalized its acquisition of Bouygues Immobilier Polska from French companies Bouygues Immobilier and SAS Reine Participations.

The €65.9 mln transaction was funded through Develia's internal resources with the option of later refinancing. The final price was slightly down on the initially agreed price of €66.5 mln in the preliminary agreement.
Develia obtained regulatory approval from the President of the Polish Office of Competition and Consumer Protection (UOKiK) for the merger before closing the transaction.
This deal expands Develia's operations, adding Bouygues Immobilier Polska's 9,500 completed residential and commercial units across 70 projects and approximately 4,100 units in progress or planned across Warsaw, Poznań, and Wrocław.
Develia CEO Andrzej Oślizło commented: "The acquisition of Bouygues Immobilier Polska is a milestone that brings us closer to implementing our strategy and exceeding the annual sales target of 4,500 apartments by 2028. We are expanding our project portfolio and strengthening our position, primarily in Warsaw – the largest and most stable residential market in Poland, which still offers room for expansion, making it particularly promising."
Karol Dzięcioł, a member of Develia’s management board, pointed out: "In the coming months, we will focus on implementing the company integration process. Based on our experience with the integration of the Polish Nexity companies acquired in 2023, we are able to complete this stage effectively, fully utilizing the transaction's potential."
Bouygues Immobilier Polska's current projects include Viva Cite, Osiedle Lumea, and Neo Praga in Warsaw, Vilda Arte in Poznań, and Vivre in Wrocław.
Develia plans to integrate the acquired company and sees this deal as a means to diversify its offerings and increase its scale of operations. Two years ago, Develia purchased the Polish subsidiaries of French real estate developer Nexity for around €100 mln.
