Kennedy Wilson goes private in €1.5b takeover

Global real estate investor Kennedy Wilson is being acquired by a consortium led by chairman and CEO William McMorrow, other senior executives (the "KW Management Group") and Fairfax Financial.

The all-cash transaction will see the Consortium acquire all outstanding common shares of Kennedy Wilson (excluding those already held by the Consortium members) for $10.90 per share.
This per-share price represents a substantial 46% premium over Kennedy Wilson's share price on 4 November 2025, the day before the Consortium's acquisition proposal was made public. All Consortium members have committed to voting in favour of the transaction.
Fairfax Financial has secured funding of up to $1.65 bn (€1.54 bn) to cover the cash purchase price for the shares, the redemption of preferred shares not owned by the Consortium, and other related expenses. The acquisition is not contingent on financing.
Following the transaction's completion, the KW Management Group, under William McMorrow, will retain operational control and leadership of Kennedy Wilson. Fairfax Financial is expected to hold a majority economic interest in the company.
The transaction is anticipated to close in the second quarter of 2026, subject to customary closing conditions, including stockholder and regulatory approvals.
Kennedy Wilson manages $31 bn (€29 bn) in assets across fast-growing markets in the United States, the UK, and Ireland. The company has completed over $60 bn (€56 bn) in transactions across diverse property types since its public listing in 2009. Kennedy Wilson directly owns, operates, and develops real estate within its core portfolio and through its investment management platform, where it pursues opportunistic equity and debt investments with partners.
